Terms and Conditions

for ordering intermediary services

Provider of intermediary services:

The company is registered in the Commercial Register at the Municipal Court in Prague, under section C, insert 141716

(hereinafter „Provider“)

I. Service Description

a) Intermediating information and contact between clients who offer an investment opportunity in the following categories: company acquisition, inviting a partner, merger and financing, and clients who seek an investment opportunity in the following categories: company acquisition, entering a company, merger and financing.

b) Sending e-mail offers or inquiries to clients in his database, according to specific information filled out by the client in a registration form at the website www.aletop.com (hereinafter „Registration“).

c) The services are paid (see Article III) and provided for a period of one year, which can be renewed by the client for a fee.

d) The services are provided in Europe, the United States of America, Russia, Japan and China.

II. Rules for Ordering Services

a) The client shall fill out the Registration, entering mandatory data in fields marked with *)

b) By sending the Registration, the client unconditionally agrees to these Terms and Conditions.

c) After ordering services, the client shall pay a registration fee according to Provider's instructions.

d) The client agrees that his data entered in the Registration be provided to persons interested in his offer or inquiry, and to a partner translation agency for the purpose of translating it.

e) The client must not register in order to monitor the number of offers and inquiries in the server or for other negative purposes.

III. Registration Fee and Period

a) Intermediary services are provided for a fee.

b) The service is ordered for one year, after which the client can renew it for a fee.

c) Fees for services are set out in a current price list which is available at the website www.aletop.com.

IV. Client's Rights and Responsibilities

a) The client agrees that his data entered in the Registration will be included in Provider's database for the period of using his services, and provided to persons from Provider's database interested in the client's offer or inquiry, as well as to a partner translation agency for their translation.

b) When the client obtains by e-mail the requested offer or inquiry, he must not modify, copy, spread, reproduce, distribute, license, publish or transfer this information.

c) Information e-mailed to the client may only be used to prepare an offer for inquirers or an inquiry for offerers and to establish collaboration with the inquirer or offerer.

d) If, within one year after registration, the client's requirements have been met or an adequate offer or inquiry has not been sent to him for objective reasons, or if the client withdraws from the contract, the client is not entitled to any, even a partial, refund of the registration fee.

e) Data provided by the client must not be in conflict with generally binding laws and regulations in his country or in violation of good morals, must not violate third parties' interests, and must not violate or be in conflict with Provider's justified interests.

V. Provider's Rights and Responsibilities

a) Provider is entitled to include data entered by the client in Registration in his database for as long as the client uses Provider's services, and to provide that data to persons from his database interested in the client's offer or inquiry and to a partner translation agency for the purpose of translating it.

b) Provider is entitled to refuse an order from a client who:

o has entered false data on himself or his company;

o has registered in order to gain information about offerers or inquirers, particularly to monitor the number of inquiries or offers, or for other negative purposes;

o doesn't meet these conditions, particularly Rules for Ordering Services and Client's Rights and Responsibilities, or did not pay a registration fee.

c) Provider only intermediates information and contacts between clients seeking an investment opportunity and clients offering an investment opportunity, and does not guarantee that the client will find a suitable contracting partner who will make a deal with them.

d) Provider does not guarantee that the service provided is flawless, even though he does his best to ensure that it is, and therefore he is not liable for any mistakes or damage to the client - in particular for not receiving an e-mail offer or inquiry and for the truthfulness and accuracy of offers and inquiries e-mailed to clients.

e) Provider e-mails offers or inquiries to the client according to the client's requirements, and therefore does not guarantee that offers or inquiries will be sent regularly.

f) Provider is entitled to e-mail the client newsletters about new services or advertising, as well as third-party offers.

g) If a third party incurs any loss or damages caused by the client, the client is fully responsible, and Provider is entitled to submit client's contact information to the third party. Provider may also claim compensation from the client for any damages (particularly damage to Provider's good reputation) that the client caused.

VI. Final Provisions

a) These Terms and Conditions come into force upon their publication.

b) By sending the Registration, the client declares that he familiarized himself with the Terms and Conditions, agrees to them and shall be fully bound by them.
